Welcome to ZeroBeat Labs (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website and Shoutcast server hosting services (“Services”). By accessing or using our Services, you agree to be legally bound by these Terms and all applicable laws.


1. Acceptance of Terms

By creating an account, placing an order, or using our Services, you agree to these Terms. If you do not accept these Terms, you may not use our Services.

You must be at least 18 years of age, or the age of majority in your jurisdiction (whichever is higher), to create an account and use our Services. If you are under this age, you may not use our Services. By creating an account, you confirm that you meet this requirement.

If you are using our Services from outside the United States, you agree that you are solely responsible for compliance with any local laws and regulations that may apply to your use.


2. Service Description

ZeroBeat Labs provides internet-based Shoutcast server hosting, allowing customers to stream audio online. We act solely as a neutral hosting provider and do not monitor, control, or take responsibility for any content streamed, hosted, or transmitted via our servers.

3. Client Content Responsibility

You are fully responsible for any data, audio streams, or other content that you host, transmit, or make available using our Services.

By using our Services, you agree that:

  • You own or have legal rights to broadcast the content

  • Your content complies with all applicable local, state, federal, and international laws

  • You will not hold ZeroBeat Labs liable for any content-related issues or disputes

You agree to indemnify and hold harmless ZeroBeat Labs for any legal actions, claims, damages, or costs related to your content or use of the Services.

ZeroBeat Labs is not responsible for obtaining any third-party music licensing or broadcasting rights on behalf of the client. It is the sole responsibility of the purchaser or end-user of the Shoutcast station to ensure proper licensing is in place for any music or audio broadcasted using our Services.

4. No Liability for Client Content

Under Section 230 of the Communications Decency Act (47 U.S.C. § 230), ZeroBeat Labs is not liable for user-generated content. We comply with the Digital Millennium Copyright Act (DMCA) and respond to valid takedown notices as required.

We are not responsible for:

  • Copyright infringement

  • Broadcast of offensive, obscene, or illegal content

  • Any third-party claims related to client-hosted material

5. Prohibited Use

You may not use our Services to:

  • Violate any U.S., state, or international law

  • Engage in cyberattacks, spam, or malicious activity

  • Host illegal or unauthorized content

  • Interfere with the normal operation of our systems or other clients’ services

We reserve the right to suspend or terminate Services for abuse or at the direction of legal authorities.

6. Resale Restrictions

ZeroBeat Labs offers both standard and reseller hosting plans.

  • Customers who purchase a single radio account are strictly prohibited from reselling, leasing, or sharing access to that account with third parties.

  • Only clients who have purchased a reseller plan are authorized to resell services to others under their own brand or business structure.

  • Violation of this policy will result in immediate account termination without refund and a permanent ban from future services.

Reseller Support Responsibilities

  • Resellers are solely responsible for providing all technical and billing support to their own clients.

  • ZeroBeat Labs does not provide direct support to reseller clients unless a separate written agreement has been made in advance.

  • Additional charges will apply for any such support and must be approved in writing before assistance is provided.

  • Resellers are prohibited from sharing ZeroBeat Labs’ support contact information with their clients unless prior arrangements have been explicitly approved in writing.

7. Customization & Extra Features

ZeroBeat Labs provides pre-defined hosting packages with clearly listed features.

Any additional configuration, functionality, or customization beyond those packages is considered custom work and:

  • Will incur extra charges

  • Must be mutually agreed upon in writing

  • Will not be provided unless pricing is established between the client and ZeroBeat Labs

Requests for custom setups are not included in base pricing and are handled case-by-case.

8. Uptime & Force Majeure

We strive to provide consistent and reliable uptime. However, we make no guarantee of uninterrupted service.

ZeroBeat Labs shall not be held liable for any downtime or service interruption caused by:

  • Natural disasters, severe weather, or acts of God

  • Power grid or internet backbone outages

  • Data center hardware or infrastructure failures

  • Cyberattacks, war, labor disputes, or pandemics

  • Any event beyond our reasonable control

No credits or refunds will be issued for outages resulting from such events.

9. Payments, Billing & Late Fees

Payment Terms

Full payment is due before any services are activated. No hosting, streaming, or configuration will begin until payment has been received and confirmed.

Billing Schedule

  • All client accounts are billed on the 1st of each month

  • New accounts started mid-month will be prorated for the remaining days of that month

  • This ensures consistent billing on the 1st of every month for all clients

Invoice Terms

  • All invoices are issued as NET 15, meaning payment is due within 15 calendar days of the invoice date

  • Failure to pay within this window may result in late fees and service disruption

Suspension and Termination

If an invoice is not paid by the due date, services will be automatically suspended. If payment is not received within 15 days after the due date, the account and services will be permanently terminated.

Accepted Currency & Payment Methods

  • All billing is in U.S. Dollars (USD)

  • We accept payments via credit card and PayPal only

  • Clients are responsible for any fees, exchange rates, or payment processing charges incurred

Late Fees

If payment is not received within 15 days of the invoice date, a late fee of 10% per month will apply to the unpaid balance.
This is permitted under New Mexico law and will continue accruing until paid in full.

10. Chargebacks

Initiating a chargeback or payment dispute without first contacting ZeroBeat Labs to resolve the issue is a violation of these Terms.

You agree that:

  • A chargeback will result in immediate termination of all services

  • You are responsible for all chargeback fees, penalties, and processing costs

  • You will be permanently banned from future use of our Services

11. Support Policy

All support inquiries must be submitted via:

We provide support during standard business hours:
Monday through Friday, 8:00 AM to 5:00 PM Central Time, excluding U.S. federal holidays.

Support requests are processed in the order they are received. We strive to respond as quickly as possible based on queue position and issue severity.

Although not guaranteed, we may respond to urgent issues outside normal business hours as a courtesy when available.

12. Post-Delivery Responsibility

Once your Shoutcast hosting account has been delivered and access credentials provided, ZeroBeat Labs’ responsibility for your service ends.

  • You are fully responsible for uploading music, creating playlists, and configuring your station settings

  • We do not manage, update, or monitor your content or streaming schedule

  • Ongoing station maintenance and content management are the client’s sole responsibility

Support is still available for service-level issues as outlined above.

13. Third-Party Players and Applications

Clients may choose to use third-party hosted players or applications to embed or stream their content. However:

  • ZeroBeat Labs does not provide support or guarantee compatibility with third-party players

  • Use of third-party hosted players may result in technical issues such as buffering, connection problems, or incompatibility

  • These issues are not covered under any support, service-level agreement (SLA), or warranty from ZeroBeat Labs

14. No Warranties

All Services are provided “as is” and “as available.” We make no warranties, express or implied, including but not limited to:

  • Uptime or service availability

  • Fitness for a particular purpose

  • Non-infringement

  • Merchantability

15. Limitation of Liability

To the fullest extent permitted by law, ZeroBeat Labs shall not be liable for:

  • Indirect, incidental, special, or consequential damages

  • Loss of revenue, profits, data, or use

  • Any claims exceeding the total amount paid in the 30 calendar days prior to the incident

16. Indemnification

You agree to indemnify and hold harmless ZeroBeat Labs, its owners, employees, and affiliates from any and all claims, damages, losses, liabilities, legal costs, and expenses arising from:

  • Your hosted content

  • Your use or misuse of our Services

  • Your breach of these Terms or any applicable law

17. Governing Law & Jurisdiction

These Terms are governed by and construed under the laws of the State of New Mexico.

Any legal action will be brought exclusively in the state or federal courts of Bernalillo County, New Mexico, and you agree to the jurisdiction of those courts.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Services after changes have been posted constitutes acceptance of the updated Terms.

19. Professional Conduct

All clients are expected to maintain a respectful and professional tone in all communications with ZeroBeat Labs staff and representatives.

You agree that:

  • Abusive, harassing, threatening, or defamatory behavior toward our company, staff, or services—whether in private communication or public forums (e.g. social media, review sites)—is strictly prohibited

  • Repeated disrespect, slander, or hostile behavior may result in immediate service suspension or termination without refund

  • We reserve the right to take appropriate action, including permanent account closure, if a client’s conduct becomes disruptive, harmful to our reputation, or creates a hostile environment for our staff


21. International Use and Compliance

ZeroBeat Labs operates within the United States but welcomes users globally. You are responsible for ensuring that your use of the Services complies with all local laws, regulations, and licensing requirements applicable in your jurisdiction.

By using our Services internationally, you agree that:

  • You will comply with all export control and economic sanctions laws and regulations, including those of the United States, the European Union, and other jurisdictions

  • You will not use the Services in any jurisdiction that prohibits or restricts online content streaming, internet broadcasting, or internet-based commerce

  • You are solely responsible for obtaining any required licenses or regulatory approvals needed to legally broadcast audio content in your country or region

ZeroBeat Labs reserves the right to block access to our Services in jurisdictions where our Services are not legally permitted or may pose legal risk.


22. Language and Interpretation

This Terms of Service is written in U.S. English and governed by U.S. legal terminology. In case this document is translated into another language, the U.S. English version shall prevail in the event of a conflict.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.


23. Severability and Survival

If any part of these Terms is found to be unenforceable or invalid under any applicable law or regulation, that provision shall be removed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

All sections relating to liability limitations, indemnification, payment obligations, prohibited conduct, and legal jurisdiction shall survive termination of your account or use of the Services.


24. Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific agreements related to your account or services, constitute the entire agreement between you and ZeroBeat Labs and supersede all prior agreements, written or oral, relating to the subject matter herein.

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.


25. Cooperation with Legal Authorities

ZeroBeat Labs complies with all applicable laws and regulations. If contacted by authorized legal or licensing authorities, we will cooperate fully by providing necessary records or information as required by law.
